Reinstate Online for $0.99 Starting October 13th

On Wednesday, October 13, 2004, the Business Division will Web-enable online filing of articles of reinstatement. For a limited time, the introductory processing fee for filing articles of reinstatement online is 99¢!

To file Articles of Reinstatement online for 99¢,

  1. Visit the Secretary of State's Web site, http://www.sos.state.co.us/, and then select "Business Center";
  2. On the Business Division's Homepage, refer to the column labeled “BUSINESS INFORMATION” and select “File a business document (Take me to forms)”;
  3. On the "File a Document" page, select "File a document affecting an existing Secretary of State record";
  4. Search for the entity for which you wish to file articles of reinstatement;
  5. Confirm that you have identified the proper entity;
  6. On the "Information on File" page, select “File a Document” located near the bottom of the page;
  7. On the "Documents Available for Filing" page, select “Articles of Reinstatement”; and
  8. Complete the form and follow the onscreen instructions.

You may pay the 99¢ processing fee either by credit card, or by using a prepaid account. When the transaction is complete, you may obtain a free certificate of good standing online!

If you cannot find your record on the Web site, contact the Business Division by email at sos.business@sos.state.co.us, fax 303.869.4864 or phone 303.894.2200, and press 2. Let us know that you are trying to reinstate an entity but cannot find its record online and we will assist you. Please include the entity name and id number, and your name, address and phone number.

If you are trying to reinstate an entity for which an amendment or statement of change has been filed changing the entity's name you may wish to include an attachment in the articles of reinstatement stating the entity's name prior to dissolution. We want to facilitate the use of the entity's name as it appeared in any amendment or statement of change filed after dissolution but prior to reinstatement, but the statute specifically requires the document to state the entity name prior to dissolution.
